Terms and Conditions

Welcome to OkRated. These Terms and Conditions (“Terms”) govern your access to and use of our tool and services (the “Service”) in India. By clicking “I Agree,” signing a contract, or by using the Service, you confirm that you have read, understood, and agree to be bound by these Terms.

1. Definitions

• OkRated: Refers to the business okrated.com, a subsidiary of Design Mechanics India Private Limited, the owner and provider of the Service.
• Business: Any small business or service provider, including the business owner or entrepreneur, registered in India that uses the Service.
• User: Any person who provides ratings or feedback via the Service.
• Service: The OkRated tool, including its website, mobile application (if any), QR code generation, review flow, and associated data collection and analytics features.
  

2. Service Description

OkRated enables Businesses to collect ratings and feedback from their customers via a unique QR code or link.

• Ratings of four or five stars are directed to the Business’s Google My Business page for a public review.
• Ratings of three or fewer stars prompt Users to complete an internal feedback form for the Business’s private use. This internal feedback is not made public.

3. Use of Service & Responsibilities

•   Businesses are responsible for using the Service legally and ethically.
•   Manipulation or falsification of reviews is strictly prohibited. Businesses must not use dark patterns, in line with the Consumer Protection Act, 2019.
•   Businesses are solely responsible for all feedback collected.
•   OkRated acts as an intermediary and is not liable for any content generated by Users.

4. Intellectual Property

All rights in the software, brand, and trademarks (e.g., “OkRated”) are owned by OkRated. Businesses are granted a limited, non-exclusive, non-transferable license to use the Service. All collected data remains the property of the Business. OkRated is granted a license to use this data for improving the Service.

5. Limitation of Liability

To the extent permitted by law, OkRated shall not be liable for indirect, incidental, or consequential damages. Total liability shall not exceed the fees paid by the Business in the 12 months preceding the claim.

6. Indemnification

Businesses agree to indemnify OkRated against claims, damages, or legal fees arising from misuse of the Service or violations of law.

7. Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. All disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.

 8. Termination

OkRated may terminate this agreement without notice if the Business is found engaging in unethical practices such as review manipulation, abuse of the platform, or activities in breach of Indian consumer protection laws. In other cases, OkRated reserves the right to terminate access with 7 days’ notice, along with a written reason.

9. Change of Terms

OkRated reserves the right to update these Terms at any time. Continued use of the Service after such changes implies acceptance. We will notify Businesses of material changes via email or in-app notice.

10. License Revocation

OkRated reserves the right to revoke or suspend a Business’s access to the Service, in part or in full, without prior notice, if:

• The Business engages in manipulation or incentivized review practices
• Violates the Consumer Protection Act, 2019 or any applicable law
• Misuses user data or breaches privacy terms
• Causes reputational harm to the platform

Such revocation shall not entitle the Business to any refund, except as outlined in the Refund Policy.

11. Force Majeure

OkRated shall not be liable for failure or delay in performance due to events beyond reasonable control, including acts of God, internet outages, government restrictions, etc.

12. Disclaimer of Warranties

OkRated provides tools and services that facilitate feedback collection and customer review routing. However, OkRated makes no representations or warranties, express or implied, regarding the increase in reviews, improved ratings, customer footfall, or any specific business outcome. Results may vary based on customer behavior, business responsiveness, and external factors.
